General Terms and Conditions of Trade

1. Acceptance
Quotes will be accepted as an order by Bakewise Pty Ltd upon:
• Receipt by us of your written purchase order; and
• Receipt by us of a 30% deposit of the total order value.


2. Terms of Payment
Stock Items:
Prepayment is required prior to shipping.

Custom-Made Equipment:
• 30% of the contract price is to be paid to Bakewise Pty Ltd as acceptance of this Quotation.
• 60% of the contract price is due upon “manufacturers completion” notification by Bakewise Pty Ltd. This refers to when the equipment is available at the manufacturer’s origin location, including its country of origin.
• 10% of the contract price is to be paid upon equipment being available for dispatch from our Sydney Warehouse or prior to the commencement of commissioning, as applicable.

4. Liability
Bakewise Pty. Ltd. does not accept any liability for any claims arising from the supply, installation, use, or performance of any goods or services, whether direct, indirect, or consequential. The buyer explicitly agrees that Bakewise will not be liable for any loss of profits, revenue, or business, or for any damages (direct, indirect, or special) that may arise out of any breach of this agreement or any transaction related to the goods or services provided.


5. Warranty
Bakewise’s goods are covered by a standard 12-month parts and labor warranty. However, the warranty only covers what the manufacturer can accept as a warranty claim. The warranty does not cover any misuse, improper installation, or handling of the equipment. This warranty does not extend to cover any loss of profits, revenue, business, or other consequential damages that may arise from a machine fault.


6. Validity
Quotations remain valid for 30 days. All pricing is subject to AUD and applicable exchange rate variances. We reserve the right to reprice quotations on post-dated variations in excess of 5%. Where more than one item is included in the quotation, the quotation as a whole forms a packaged offer; individual pricing on items does not apply.


7. Special Conditions

  1. Bakewise will not connect electricity, gas, water plumbing, or ventilation to machinery or perform any removal of shop fittings (such as front windows or other machinery) unless otherwise stated. For machinery that needs to be fixed to the floor (e.g., panel rooms, ovens), a completely level floor needs to be provided for installation. If a suitable floor is not provided, an additional charge of $350 per hour per person, plus materials, will apply to rectify the issue.
  2. Mechanical commissioning of machines is included. Instruction, dough making, and product adjustments are not included. Bakewise can offer consultation for dough making/adjustments, which will be charged at $1,300 per 8-hour day plus travel/accommodation costs.
  3. Bakewise is not liable for delays incurred during transport, whether by sea freight, air freight, or road transport, including but not limited to any strike, lock-out, labor dispute, act of God, fire, flood, accidental or malicious damage.
  4. After delivery, all equipment physically delivered to the buyer-nominated location must be stored carefully to ensure no damage or deterioration occurs before it is installed. The equipment must also be insured by the buyer.
  5. Late payments will attract an interest charge of 2.5% per month.
  6. Errors and omissions excepted.

8. Retention of Title
Ownership of any goods supplied by Bakewise Pty. Ltd. remains with Bakewise until the customer has paid in full. Bakewise reserves the right to reclaim any goods supplied if the customer defaults on payment.


9. Right to Reclaim Goods
In the event of non-payment, Bakewise Pty. Ltd. reserves the right to reclaim any goods. The customer agrees that Bakewise or its agents may enter the customer’s premises to recover such goods.


10. Risk
Risk in the goods passes to the customer upon delivery, but ownership remains with Bakewise until full payment is made.


11. Default and Collection Fees
The customer agrees to pay all costs associated with recovering overdue amounts, including legal fees and debt collection costs.


12. Security Interest and PPSA
The customer grants Bakewise Pty. Ltd. a security interest in all goods supplied. Bakewise may register this interest with the PPSR, and the customer agrees to provide all necessary information.


13. Credit Review
Bakewise reserves the right to review and amend the customer’s credit limit and payment terms.


14. Jurisdiction
This agreement is governed by the laws of New South Wales, Australia.


15. Force Majeure
Bakewise Pty. Ltd. shall not be liable for failure to perform due to events beyond its control.


16. Change of Ownership
The customer agrees to notify Bakewise Pty. Ltd. of any ownership or company structure changes within 14 days.
